Exchange and completion answer different questions

In a fictional acquisition, target exchange is day 45, the available facility specimen expires on day 60 and target completion is day 70. Progress towards exchange does not establish that funds will be available at completion. All dates are invented, with no statement about a real financing instrument.

Trace the dependency

Record which decision depends on the facility, who can confirm its availability and what evidence would demonstrate a refreshed position. The acquisition pack may also contain sources of different ages or incomplete professional reports. Keep those limitations attached to the relevant assertions.

Keep approval with its owner

The investment sponsor makes the commercial decision within its authority. The lender and appointed professionals retain their own determinations. A readiness summary should explain the evidence and outstanding conditions, rather than recommend proceeding merely because a pack exists.

General education using entirely fictional examples. No client outcomes, legal, title, valuation, investment, lending or technical determination is established. Authorised professionals retain their responsibilities. No third-party reliance or engagement is created.
